General Provisions
This agreement between NEBOLAB LLC (hereinafter referred to as the Seller) and the user of the website services (hereinafter referred to as the Customer) constitutes a commission agreement for ordering, purchasing, and delivering goods and defines the main terms for ordering, purchasing, and delivering goods through the website https://gedz.tech/.
The Customer, acting with the intention of purchasing goods, accepts the terms of this Goods Purchase Agreement (hereinafter referred to as the “Agreement”) under the following conditions.
Terms and Definitions
1.1 Public Offer
A Public Offer (hereinafter referred to as the “Offer”) is a public proposal made by the Seller to an undefined number of persons to conclude a remote goods purchase agreement (hereinafter referred to as the “Agreement”) under the terms specified in this Offer, including all appendices.
2.1 Definitions
Unless otherwise required by context, the following terms have the meanings defined below:
ProductA trade item (product, model, accessory, components, or related goods) offered for purchase on the websitehttps://gedz.tech/.
Online StoreAccording to the Law of Ukraine “On Electronic Commerce”, a tool for presenting or selling goods, works, or services through an electronic transaction.
SellerThe company that sells products presented on the website.
BuyerAn individual who has concluded an agreement with the Seller under the terms stated below.
OrderThe selection of individual items from the list of products chosen by the Buyer during order placement and payment.
Subject of the Agreement
3.1 The Seller undertakes to transfer ownership of the Product to the Buyer, and the Buyer undertakes to pay for and accept the Product under the terms of this Agreement.
This Agreement regulates the purchase and sale of goods in the online store, including:● voluntary selection of goods by the Buyer in the online store● independent order placement by the Buyer in the online store● payment by the Buyer for the order placed in the online store● processing and delivery of the order to the Buyer under the terms of this Agreement.
Order Placement Procedure
4.1 The Buyer has the right to place an order for any product available on the website.
4.2 Each product position may be ordered in any quantity.
4.3 If the product is unavailable, the Seller must inform the Buyer by phone or email.
4.4 If the product is unavailable, the Buyer has the right to:● replace it with a similar product● refuse the product● cancel the order.
Order Payment Procedure
Payment Methods
5.1 Payment may be made upon receipt of the product at the branch of a transport company in cash (UAH).
5.2 Payment may be made in cash upon delivery to the Buyer’s address by a transport company.
5.3 Payment may also be made via bank transfer to the Seller’s account (prepayment).
5.4 If payment is not received within three working days, the online store reserves the right to cancel the order.
Delivery Terms
6.1 Delivery of goods purchased in the online store is carried out to:
● the warehouses of transport companies, or● directly to the recipient’s address.
6.2 The Buyer receives documents with the order according to Ukrainian legislation (delivery invoice)
Rights and Obligations of the Parties
7.1 The Seller has the right to:
unilaterally terminate the provision of services if the Buyer violates the terms of this Agreement.
7.2 The Buyer is obliged to:
pay for and receive the order in accordance with this Agreement.
7.3 The Buyer has the right to:● place orders in the online store● conclude electronic agreements● demand that the Seller fulfill the terms of this Agreement.
Liability of the Parties
8.1 The parties are responsible for non-performance or improper performance of this Agreement according to the terms of this Agreement and the current legislation of Ukraine.
8.2 The Seller is not responsible for:● changes in product appearance made by the manufacturer● minor differences in product color caused by monitor display differences● the accuracy of information provided by the Buyer when placing an order● delays in services caused by circumstances beyond the Seller’s control● illegal actions performed by the Buyer using Internet access● disclosure of the Buyer’s network identifiers (IP address, MAC address, login, password) to third parties.
8.3 The Buyer bears full responsibility for any damage caused by their actions when using Internet access.
8.4 In the event of force majeure circumstances, the parties are released from their obligations under this Agreement.
Force majeure includes extraordinary and unforeseen events that prevent fulfillment of this Agreement and which the parties could not reasonably foresee or prevent.
8.5 The parties shall make every effort to resolve disputes through negotiations.
Other Terms
9.1 The online store reserves the right to unilaterally amend this Agreement provided that the updated version is published on
https://gedz.tech/.
9.2 The online store is created to organize remote product sales via the Internet.
9.3 The Buyer is responsible for the accuracy of information provided when placing an order. By accepting this Agreement (placing and paying for an order), the Buyer gives consent to the Seller to collect, process, store, and use personal data in accordance with the Law of Ukraine “On Personal Data Protection.”
9.4 Payment for an order means full acceptance of the terms of this Agreement.
9.5 The date of conclusion of the electronic agreement is considered the date of acceptance in accordance with Article 11 of the Law of Ukraine “On Electronic Commerce.”
9.6 Viewing products and placing orders on the website is free of charge for the Buyer.
9.7 Information provided by the Buyer is confidential and is used solely for:● order processing● sending notifications● product delivery● financial settlements.
Return of Goods of Proper Quality
10.1 Returns are carried out in accordance with current Ukrainian legislation.
10.2 Return shipping costs are borne by the Buyer.
10.3 When returning goods of proper quality, the online store refunds the amount paid for the product minus delivery costs incurred by the online store.
Duration of the Agreement
11.1 The electronic agreement is considered concluded once the Seller receives confirmation of acceptance according to Article 11 of the Law of Ukraine “On Electronic Commerce.”
11.2 The Agreement may be terminated by mutual consent before delivery through a refund.
11.3 Either party may terminate the Agreement unilaterally if the other party violates its terms or in cases предусмотренных Ukrainian legislation.
IMPORTANT
Please approach the selection of products responsibly.
If a product was purchased based on inaccurate information and later it is discovered that the product does not possess the properties described in the product information, the Buyer may claim compensation for damages.
However, if inaccurate information does not affect the actual properties of the product, compensation will not be provided.
To avoid such situations, please confirm:● the price at the time of purchase● all product characteristics with our consultants.
Please note that the manufacturer reserves the right to modify products without prior notice to buyers.
8.1 The parties are responsible for non-performance or improper performance of this Agreement according to the terms of this Agreement and the current legislation of Ukraine.
8.2 The Seller is not responsible for:
changes in product appearance made by the manufacturer
minor differences in product color caused by monitor display differences
the accuracy of information provided by the Buyer when placing an order
delays in services caused by circumstances beyond the Seller’s control
illegal actions performed by the Buyer using Internet access
disclosure of the Buyer’s network identifiers (IP address, MAC address, login, password) to third parties.
8.3 The Buyer bears full responsibility for any damage caused by their actions when using Internet access.
